Plain English summary: GridShare sells on-demand GPU compute to Buyers. We source that compute from a network of independent Providers who run the GridShare software on hardware they own — we don't own the hardware ourselves. When you buy compute, your contract for that compute is with GridShare, and GridShare invoices you for it. We do not inspect or control what you run on it. By using GridShare you accept these Terms in full. Read them carefully, especially Sections 10–11 which limit our liability.

1. About GridShare and the Platform

GridShare ("we", "our", "us", "the Platform") is operated by Quartusbrain Ideas Private Limited, a company incorporated under the Companies Act, 2013 in India on 3 July 2026 (CIN: U62011TN2026PTC194854). Our registered office is at 1A, Crystal Kasthuri Apartments, Z Block, 6th Avenue, Anna Nagar, Chennai 600040, Tamil Nadu, India.

GridShare supplies on-demand GPU compute capacity to Buyers as principal. We source the underlying compute from a network of independent Providers who run the GridShare node software on hardware they own; GridShare does not itself own the GPU hardware. GridShare sets the price of compute, determines how and where a workload runs (including migrating it between Providers to keep it running), bears the service risk for the compute it sells, and contracts directly with the Buyer for the compute purchased — the Buyer's counterparty for the compute is GridShare, not any individual Provider. GridShare does not monitor, inspect, or control the content of Buyer workloads and acts as a neutral technical conduit for the data Buyers transmit or store through the Platform.

The Platform involves two types of participant:

Providers are independent contractors, not employees, agents, or partners of GridShare. GridShare is not responsible for the acts, omissions, hardware reliability, data security practices, or conduct of any Provider.

By creating an account, accessing, or using GridShare, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Refund and Cancellation Policy. If you do not agree, do not use the Platform.

2. Eligibility and Account Registration

You must be at least 18 years of age to use GridShare. By registering, you represent and warrant that:

GridShare may decline a registration, or suspend or restrict an account, where it has reasonable cause to do so — including suspected fraud, breach of these Terms, a legal or regulatory requirement, failure to complete identity or eligibility verification, or a credible risk to the Platform, its Providers, or other users. Where practicable, GridShare will give notice and a reasonable opportunity to respond before suspending or terminating an account; however, for serious violations (including those in Section 8, such as CSAM, malware, attacks on systems, sanctions breaches, or fraud) GridShare may act immediately and without prior notice. A suspended Buyer's undisputed, non-bonus prepaid wallet balance will not be forfeited except where the account is terminated for a Terms violation under Section 12. Any account holder may seek review of a suspension by writing to support@gridshare.in.

3. Provider Terms

The full terms that apply to Providers (individuals or entities who list GPU hardware to earn income) are set out in the GridShare Provider Agreement, which forms part of these Terms. In summary, Providers are independent contractors who own their hardware, set their own availability, are paid only for compute actually delivered (with TDS under Section 194O), and must never access, copy, or retain any Buyer's data. Registering as a Provider requires accepting the Provider Agreement in full.

4. Buyer Terms

4.1 Prepaid Wallet and Billing

GridShare operates on a fully prepaid basis. You must maintain a positive wallet balance to use compute. Billing is per second for all running instances at rates shown before launch. Instance launch time is typically 30–90 seconds; launch time is not guaranteed. When your balance reaches zero, all running instances are automatically and immediately stopped. GridShare is not liable for any loss of data, work, or revenue resulting from automatic instance termination due to insufficient balance.

4.2 No Service Level Agreement on Community Nodes

GridShare Community nodes are operated by independent Providers on consumer-grade hardware and internet connections. GridShare makes no representation, warranty, or guarantee of any kind regarding uptime, latency, throughput, data persistence, hardware consistency, or continuous availability of Community nodes. If you require guaranteed performance, you must use verified enterprise-tier nodes where available and clearly labelled.

Use of Community nodes is entirely at your own risk. GridShare's liability for Community node failures is limited exclusively to Section 10 of these Terms.

4.3 Your Data and Workloads

You are solely and exclusively responsible for:

GridShare does not monitor, inspect, or retain the contents of your compute workloads and has no knowledge of what you process on Provider hardware. You use the Platform at your own risk.

4.4 Durability Features Are Best-Effort

GridShare's workspace autosave, checkpointing, and live-migration features are provided on a best-effort basis only. GridShare does not warrant that any data, or any particular amount of recent work, will be preserved, restored, or recoverable following an interruption, node failure, wallet depletion, suspension, termination, or migration between nodes. Large, regenerable, or excluded files — including but not limited to model weights and checkpoints (for example, .pt and .safetensors files), datasets, package and build caches, and other bulk artifacts — are excluded from autosave and from workspace migration and may be permanently lost. You are solely responsible for exporting or downloading any output you need to retain, including by saving trained weights and checkpoints to your own storage. Any reference to "durability," "autosave," "30-second save," or similar in GridShare's marketing, website, or documentation describes design intent and engineering effort, not a guarantee, representation, or warranty of data preservation. GridShare's liability in respect of any loss of data or work is limited as set out in Sections 10 and 10.1.

4.5 Assumption of Risk

You understand and expressly accept that GridShare Community nodes run on consumer-grade hardware and consumer internet connections that can and do fail without warning; that your instance may be interrupted, migrated to another node, or terminated at any time; and that your data or work in progress may be lost or corrupted despite GridShare's autosave, checkpointing, and migration features, which are provided on a best-effort basis only and are not guaranteed to preserve any particular data. You acknowledge that these characteristics are inherent to peer-to-peer, Community-tier compute, and you accept them as a condition of Community-tier pricing. If you require guaranteed data persistence or performance, you must use enterprise-tier nodes where available and clearly labelled, and in all cases you remain responsible for maintaining your own independent backups.

5. Payments and Taxes

All payments are processed by GridShare's payment gateway partner, a licensed payment aggregator regulated by the Reserve Bank of India. By adding funds to your wallet you also agree to that provider's terms of service, shown at checkout. GridShare is not responsible for payment processing failures, delays, or disputes that originate with the payment gateway's infrastructure.

7. Intellectual Property

The GridShare name, logo, product names, platform design, and software are the intellectual property of Quartusbrain Ideas Private Limited. You may not use our branding, trademarks, or technology without prior written permission.

Any Docker images, models, datasets, code, or other content you run or store on GridShare remain your intellectual property. GridShare claims no rights over your workloads or outputs. You grant GridShare a limited licence to process and transmit your content solely to the extent necessary to provide the Platform services.

8. Prohibited Uses

You must not use GridShare for any of the following prohibited activities:

Violation of this section may result in account termination and forfeiture of earnings from the period during which the prohibited use occurred, and may be reported to the relevant law enforcement authorities. For a first-time minor violation, GridShare will provide written notice and a 7-day period to cure the violation before termination. However, cryptocurrency mining, CSAM, malware distribution, deepfake/non-consensual intimate imagery, and sanctions violations result in immediate account termination and without any cure period. Delivered compute is non-refundable; any withholding from, or return of, remaining funds is handled under Section 12 — genuinely unspent funds unconnected to the violation are returned, subject to a reasonable hold pending investigation and to any withholding required by law. GridShare reserves the right to cooperate fully with any lawful investigation.

9. Privacy

Your use of GridShare is governed by our Privacy Policy, which explains what personal data we collect, how we use it, and your rights. The Privacy Policy is incorporated into these Terms by reference.

10. Disclaimers — Platform Provided "As Is"

Important — please read carefully. This section significantly limits GridShare's liability. If you do not accept these disclaimers, do not use the Platform.

The GridShare Platform is provided "as is" and "as available" without any warranty, representation, or guarantee of any kind, express or implied, including but not limited to:

10.1 Limitation of Liability

To the maximum extent permitted by applicable Indian law, GridShare, its directors, officers, employees, and agents shall not be liable for:

GridShare's total aggregate liability to any user for any and all claims arising from or relating to these Terms or the Platform shall not exceed the greater of: (a) the total fees actually paid by that user to GridShare (not including amounts earned by Providers) in the three (3) months immediately preceding the claim; or (b) ₹5,000.

This limitation applies to the fullest extent permitted by law, regardless of the form of action (contract, tort, strict liability, or otherwise).

Carve-outs. Nothing in these Terms excludes or limits GridShare's liability for: (a) fraud or fraudulent misrepresentation; (b) gross negligence or wilful misconduct; (c) death or personal injury caused by GridShare's negligence; (d) breach of GridShare's own data-protection obligations under the Digital Personal Data Protection Act, 2023, to the extent caused by GridShare's own default; or (e) any other liability that cannot lawfully be excluded or limited under the Consumer Protection Act, 2019, the Digital Personal Data Protection Act, 2023, or other applicable Indian law. The "as is" and "as available" disclaimer in Section 10, the exclusions above, and the aggregate liability cap in this Section 10.1 do not apply to items (a) to (e), nor to any sums GridShare is obliged to refund under our Refund Policy or to statutory amounts (such as TDS or GST) that GridShare is required to collect, deduct, or account for.

10.2 Force Majeure

GridShare shall not be liable for any failure or delay in performance arising from circumstances beyond its reasonable control, including but not limited to: acts of God, floods, earthquakes, storms, epidemics or pandemics, wars, civil unrest, government action, internet infrastructure failures, power grid failures, failures of third-party cloud or payment infrastructure (including DigitalOcean and Razorpay), or cyberattacks directed at GridShare's systems.

10.3 No Monitoring of Workloads; Buyer Content

GridShare does not monitor, inspect, review, or control the content of Buyer workloads, data, code, models, or communications processed, transmitted, or stored through the Platform, except to the limited extent required to operate the Platform, prevent abuse, comply with law, or respond to a lawful request. Buyers are solely responsible for their own workloads and content and for ensuring these are lawful. To the extent any such content or data is transmitted or stored by Buyers or Providers, GridShare acts as a neutral conduit and, to the maximum extent permitted by applicable law, is not liable for that content. GridShare will act on valid legal or takedown requests in accordance with applicable law.

10.4 Release Between Users

Compute is delivered by independent Providers on hardware that GridShare does not own or control. The delivery and receipt of compute, and any conduct on or use of a node, is a matter directly between the Buyer and the Provider concerned. To the maximum extent permitted by applicable law, you release GridShare, its holding entity Quartusbrain Ideas Private Limited, and their respective directors, officers, employees, and agents from any and all claims, demands, damages, liabilities, and costs of every kind, whether known or unknown, arising out of or in any way connected with (a) the acts or omissions of any other user, or (b) any dispute between you and another user over the performance, reliability, security, or conduct of compute on the Platform. This release does not limit any right you cannot waive under applicable law (including under the Consumer Protection Act, 2019), and does not affect GridShare's own payment, invoicing, or tax obligations owed directly to you.

11. User Indemnification

You agree to indemnify, defend, and hold harmless Quartusbrain Ideas Private Limited and its directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

11.1 Indemnification Procedure

GridShare will give you prompt written notice of any claim for which it seeks indemnification under this Section, provided that any failure or delay in giving such notice will not relieve you of your obligations except to the extent you are actually and materially prejudiced by the delay. GridShare has the right, but not the obligation, to assume the exclusive defence and control of any such claim, with counsel of its choice, at your expense; if GridShare does not assume control, you must defend the claim diligently and keep GridShare reasonably informed. In either case, you may participate in the defence with your own counsel at your own cost. You may not settle, compromise, or make any admission of liability in respect of any claim in a manner that imposes any obligation on, admits any fault or wrongdoing by, or otherwise adversely affects GridShare or its directors, officers, employees, agents, or licensors, without GridShare's prior written consent (not to be unreasonably withheld); and GridShare will not settle any claim in a manner that imposes a non-indemnified liability or admission on you without your prior written consent. You agree to cooperate reasonably, at GridShare's request, in the defence of any indemnified claim. For the avoidance of doubt, this indemnity and its procedure survive the termination or expiry of these Terms and any closure of your account.

12. Termination and Suspension

GridShare may suspend or terminate your account where it has reasonable cause — including a violation of these Terms, fraudulent activity, a legal or regulatory requirement, or a credible risk to the Platform, other users, or third parties. Where practicable GridShare will give notice and an opportunity to respond; for serious violations (including those in Section 8) GridShare may act immediately and without prior notice. Disposition of any remaining funds on termination is governed by the bullets below and by our Refund Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of India.

Before initiating any proceedings, you agree to: (a) notify GridShare in writing at support@gridshare.in describing the dispute in detail; and (b) participate in good-faith mediation for a period of 30 days from the date of notice.

Arbitration: Any dispute not resolved through mediation shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement of the parties (failing agreement, as provided under the Act). The seat and venue of arbitration shall be Chennai, Tamil Nadu, India, and proceedings shall be conducted in English. Subject to the foregoing, the courts of Chennai, Tamil Nadu, India shall have exclusive jurisdiction.

Class and collective actions: You agree that you may only bring claims against GridShare in your individual capacity, and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. Any dispute must be resolved on an individual basis.

Your rights as a consumer: Nothing in this Section 13 — including the arbitration agreement, the exclusive-jurisdiction clause, and the class/collective-action waiver above — limits, excludes, or waives any right or remedy that you cannot waive under applicable law. In particular, if you use the Platform as a "consumer" within the meaning of the Consumer Protection Act, 2019, you retain your right to approach the District, State, or National Consumer Disputes Redressal Commission having jurisdiction, and to pursue any other non-waivable statutory remedy, notwithstanding anything to the contrary in this Section. The arbitration agreement and the class/collective-action waiver in this Section apply to the fullest extent permitted by law and are intended to bind Providers, business and other non-consumer Buyers, and any dispute that is lawfully arbitrable.

14. Changes to These Terms

GridShare reserves the right to modify these Terms at any time. For material changes (changes that meaningfully affect your rights or obligations), we will provide at least 7 days' advance notice via email and/or in-app notification. For non-material changes (corrections, clarifications, legal updates), we may update these Terms without prior notice. Continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of those changes.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and GridShare with respect to the Platform and supersede all prior agreements, representations, and understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15.3 No Waiver

GridShare's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. No waiver of any breach shall be deemed a waiver of any subsequent breach.

15.4 Survival

Sections 7 (Intellectual Property), 8 (Prohibited Uses), 10 (Disclaimers), 11 (Indemnification), 13 (Governing Law), and 15 (General Provisions) shall survive the termination or expiry of these Terms and any account closure.

15.5 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without GridShare's prior written consent. GridShare may assign its rights and obligations under these Terms to any successor entity in connection with a merger, acquisition, restructuring, or sale of all or substantially all of its assets, without notice to or consent from you.

16. Grievance Officer

In accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, GridShare has appointed a Grievance Officer to address user complaints.
